Welcome to LEOREXA. By accessing our public website or activating a corporate workspace, you agree to comply with and be bound by these Terms of Service.
1. Strictly Business-to-Business (B2B) Service Scope
LEOREXA is exclusively engineered and provisioned as a business-to-business (SaaS) toolset. Subscriptions are restricted solely to active corporations, registered sole traders, partnerships, or professionals operating in an official commercial capacity. The service is completely unavailable for personal consumer purposes.
2. Affirmation of Representative Authority
By ticking the registration consent interface, the individual initializing the account explicitly declares and warrants that they possess full legal capacity, commercial authority, and legitimate representation rights to contractually bind their stated business entity. The corporate entity remains legally accountable for all user actions, credential safety, and financial commitments executed within their provisioned workspace.
3. Business Verification and Taxation
To maintain corporate compliance, the Service reserves the right to validate company identifiers against national commercial registries and international VAT indices (such as the VIES system). All published list prices (€49/mo Starter, €99/mo Growth, €199/mo Business) are stated exclusive of value-added tax (VAT) and related local levies. Final binding taxes will be dynamically calculated, appended at checkout, and detailed on invoices processed via the integrated Stripe Tax protocol, utilizing the customer's verified operational location and corporate tax credentials.
4. Usage Rules for AI and Outbound Systems
- AI Outputs: Research scores, automated text drafts, and prospecting analytics generated by the Service are provisioned for professional review. The customer assumes full liability for verifying accuracy before deploying outputs to external communications.
- Outbound Rules: The customer assumes absolute responsibility for complying with localized direct-marketing laws, anti-spam mandates, and corporate opt-out tracking when communicating with leads.
5. Subscription Lifecycles and Top-up Credits
Subscriptions renew automatically at the conclusion of each billing cycle unless terminated via the platform control panel. Monthly plan-included Credits follow a "use-it-or-lose-it" rule and reset at the boundary of the next billing cycle. Separately purchased top-up Credits remain completely active and expendable following a cancellation request until the paid subscription period expires. Upon definitive account deletion and closure, any remaining unused credit balance will be permanently voided without cash redemptions or liquid compensations.
6. Limitation of Liability
To the maximum extent permitted by applicable Bulgarian commercial law, Legasibild EOOD shall not be held liable for any indirect, incidental, or consequential commercial damages, lost revenues, or data corruption. Our total aggregate liability for any operational breach arising out of these Terms shall be strictly capped at the cumulative fees paid to us by the customer during the three (3) months preceding the incident.
7. Governing Law and Court Jurisdiction
These Terms of Service, their validity, and performance shall be governed exclusively by the substantive laws of the Republic of Bulgaria, without giving effect to any principles of conflicts of law. The UN Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded. Any legal dispute, claim, or litigation arising directly from these terms shall be submitted to the exclusive jurisdiction of the competent courts in the city of Sofia, Bulgaria.
